Regulation A+ Offering

A Regulation A+ (Reg A+) offering is a type of public securities offering that allows companies to raise capital from ordinary investors — not just accredited (wealthy) investors — under simplified SEC regulations compared to a full IPO. Under Regulation A+, a company can raise up to $75 million (Tier 2) from the general public. It's sometimes called a "mini-IPO" and is a mechanism for companies to offer community ownership to their customers and supporters.

What it means

Traditional securities laws heavily restricted who could invest in private companies — essentially requiring investors to be wealthy ("accredited") as a paternalistic protection. The JOBS Act of 2012 and subsequent SEC rulemaking expanded access through mechanisms like Regulation A+, Regulation Crowdfunding, and others. The result is that companies can now legally offer equity to their communities, customers, and supporters at modest investment minimums.
